Acceptance of Terms
By downloading, installing, or using PraLoop (the "Service"), you agree to be bound by these Terms of Use ("Terms").
If you do not agree to these Terms, please do not use the Service. These Terms apply between CHIYUU Co., Ltd. ("we," "us," or "our") and you.
About the Service
PraLoop is an application that supports practice by enabling repeated playback of specific segments (e.g., A–B loops) of videos, music, and YouTube content, for purposes such as learning instruments or languages.
Basic features are available free of charge. Some features require a PraLoop Premium subscription (annual paid plan).
Accounts
Basic features of the Service are available without account registration.
To upload files to Google Drive and use cross-device synchronization, registration via Google, Apple, or email authentication is required. You are responsible for managing your account information.
License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.
Prohibited Uses
You may not:
(1) use the Service for any unlawful purpose or in violation of applicable laws;
(2) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
(3) copy, modify, distribute, sell, or lease any part of the Service without authorization;
(4) infringe the rights of others through the Service; or
(5) interfere with the normal operation of the Service.
User Content & Copyright
The Service allows you to load and use your own video and music files.
Files are processed locally on your device by default.
If you use the Google Drive sync feature, files will be stored in the Google Drive associated with your Google account.
You are solely responsible for ensuring that any content you use complies with applicable copyright and other laws. We assume no liability for copyright infringement or other issues arising from your use of content.
Third-Party Services
The Service integrates with the following third-party services: YouTube (subject to YouTube API Terms of Service), Google Drive, Google Sign-In, Google Analytics, and Firebase Analytics (subject to Google's Terms of Service), Apple Sign-In (subject to Apple's Terms of Service), Google AdMob (ad delivery), and Sentry (error monitoring).
Use of these services is governed by their respective terms of service and privacy policies. We are not responsible for the content or quality of third-party services.
Fees & Payment
Payments for PraLoop Premium are processed through the App Store (Apple Inc.) or Google Play (Google LLC).
Pricing, payment terms, auto-renewal, and refunds are governed by the respective platform's terms of service and policies. Please review each store's policies before purchasing.
Intellectual Property
All intellectual property rights in the Service and its content, features, and functionality belong to us or our licensors.
Our trademarks, logos, and service names may not be used without our prior written consent.
Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
We make no warranties, express or implied, regarding the completeness, accuracy, continuity, or fitness for a particular purpose of the Service.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, but not limited to, loss of data or loss of profits) arising out of or related to your use of or inability to use the Service.
Violations
If you violate these Terms, we may issue a warning or restrict your access to part or all of the Service.
Service Termination
If we discontinue the Service, we will provide at least 30 days' notice in the app or on our website prior to the termination date. Matters relating to paid plans upon termination will be handled in accordance with the App Store and Google Play policies.
Account Deletion
If you wish to delete your account, please contact us through the contact page. Your data following account deletion will be handled in accordance with our Privacy Policy.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Dispute Resolution
In the event of any dispute arising in connection with these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved in the court specified in the Governing Law & Jurisdiction section.
Changes to Terms
We reserve the right to modify these Terms at any time. If we make significant changes, we will update the date at the top of this page and notify you in the app or on our website. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
